These Terms and Conditions and our privacy policy (available at programs.competentboards.com/pages/privacy) together constitute the legal agreement between you and Board Intelligence relating to the provision of Online Training through the Thinkific learning platform.
All Online Training Materials are prepared and curated by the Board Intelligence team and are intended to augment the learning experience of the Delegate only. If it has been determined that you are in breach of these terms and conditions, Board Intelligence will inform you and reserves the right to take reasonable corrective action. Refund eligibility in these situations will be determined on a case by case basis and are subject to rejection by Board Intelligence.

Definitions
Account: your account on the Thinkific platform.
BI/we/us etc: Board Intelligence Limited of 24 Cornhill, London, EC3V 3ND.
Contract: these terms and conditions together with our privacy policy.
Cooling Off Period: means 14 days from and including the day following the date you purchase a Membership or Online Training.
Delegate Data: the data provided by you for the purpose of us providing Online Training and Membership benefits.
Delegate/you/your etc: an individual who purchases Membership and/or Online Training from BI.
Data Protection Legislation: all data protection and privacy legislation in force from time to time applicable to a Party including, UK GDPR, the UK Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended.
Membership: annual membership of the BI Online Training Programme.
Online Training: training provided by BI online for you through the Thinkific learning platform.
Personal Data/Processing: have the meanings given to them in the Data Protection Legislation.
Training Material: any materials or documents provided by BI as part of the Online Training.

A. Acceptance of bookings
- You must purchase a Membership and open an Account to purchase Online Training. You may also purchase a Membership independently of Online Training.
- Membership is purchased on an annual subscription basis. Your Membership will automatically renew for 12 months on each anniversary of the original purchase date unless cancelled as detailed below.
- All purchases of Membership and Online Training must be made on the Website. The Website will guide you through the purchase process. All details can be reviewed before completing your purchase, so please take time to read and check the details at each stage.
- All purchases are subject to availability. BI reserves the right in its sole discretion to reject a purchase or withdraw any Online Training modules at any time. If BI does not accept your purchase, BI will inform you by email as soon as possible.
- Once a purchase of Membership or Online Training has been made you will receive email confirmation.
- All Online Training has an expiry date. You will be advised of the expiry date in your email confirmation and it will be visible against your Online Training course profile. You must complete the Online Training before the expiry date. Once the expiry date has passed you will not be able to start or complete any Online Training and you will not be entitled to any refund of fees paid.
B. Payment & invoices
- The cost of Membership and Online Training will be billed to you in the currency shown on the Website. The price stated for Online Training is the fee per Delegate.
- Full payment for Membership and Online Training is required at the time of purchase. You must ensure that payment has been successfully completed to allow you access to Online Training.
- To purchase Membership or Online Training a valid credit / debit card will be required at the time of purchase. You authorise us to charge the same credit or debit card use to make the latest purchase on your Account for your Membership renewal fees. You must make sure your credit or debit card details are kept up to date. We will invoice you separately if your Membership renews and your credit or debit card details are no longer valid.
- You must pay any bank or other third party transaction fees that may be charged in addition to the cost of Membership or Online Training.
C. Cooling Off Period and Membership Cancellation
- You have the right to cancel your initial Membership subscription and any purchase of Online Training during the Cooling Off Period applicable to each purchase. If you exercise your right to cancel a purchase during the Cooling Off Period you are entitled to receive a full refund for that purchase. You do not have the right to cancel your Membership if it automatically renews and no Cooling Off Period applies.
- If you access any Online Training during the Cooling Off Period you will lose your right to cancel the purchase of that Online Training and any associated Membership purchase. PLEASE DO NOT ACCESS ANY ONLINE TRAINING WITHIN THE COOLING OFF PERIOD IF YOU DO NOT WISH TO WAIVE YOUR RIGHT TO CANCEL.
- All cancellation requests must be made by email to [email protected] within the Cooling Off Period.
- Cancellation requests outside the Cooling Off Period are not accepted and no refunds will be given.
- BI reserves the right to modify, withdraw or cancel any Online Training after completion of your purchase. Any such modification, withdrawal or cancelation will be notified to you as soon as possible and any alternative option will be offered. Where an acceptable, suitable alternative is not offered, BI’ sole liability will be to reimburse you any fees paid for that Online Training.
- We are not obliged to keep or give you access to any information in your Account if your Membership is cancelled. This includes Course Materials and details of any certifications. Please ensure you have downloaded anything of importance before you cancel your Membership.
D. Online Training and Account Access
- You will be sent Account login details at the time of purchase including instructions on how to access the Online Training, a link to the Online Training purchased and access to any Training Materials. It is your responsibility to check for and follow the instructions.
- BI is not responsible for any non-completion of Online Training as a result of not receiving login details – it is your responsibility to ensure they have received all communications as outlined above. If you do not receive the detail please contact [email protected] well before the expiry date of your Online Training.
- BI is not responsible for any issues with hardware or software not provided by BI or Thinkific which result in you not being able to access Online Training.
E. Intellectual Property Rights and Course Materials
- BI owns the IPR in Online Training and Training Materials and the Contract does not grant you any rights to or in, any IPRs in Online Training or Training Materials.
- Online Training and Training Materials must not be copied, shared with or distributed to any other party.
F. BI Responsibility
- BI makes every effort to ensure accuracy of Online Training and Training Materials but does not accept any responsibility for errors contained within these materials.
- Information and guidance provided both during and after an Online Training is based on best available information at the time of communication and does not constitute professional advice. BI does not take responsibility for and you should not act, or refrain from acting based on, any information provided in connection with Online Training or in Training Materials. You should take professional advice if you are uncertain.
G. BI Liability
- Nothing in these terms and conditions shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of your legal rights in relation to the goods, including the right to receive goods which are: (i) of satisfactory quality; (ii) fit for any particular purpose made known to us; (iii) as described; (iv) and match any sample or model seen or examined by you.
- If the Online Training is faulty or misdescribed, you may have a legal right to a refund.
- Subject to clause 7.1, we shall not be liable for: (a) any loss or damage that is not foreseeable; (2) any loss or damage not caused by our breach or negligence; (c) any business losses, including loss of profit, loss of business, business interruption, or loss of business opportunity.
- Subject to clause 7.1, our total liability to you for any loss or damage arising out of or in connection with any purchase shall be limited to the total price paid for purchase items.
H. Your Responsibility
- You must not share your Account passwords or pretend to be someone else. Your Membership and access to the Online Training, Training Materials and the Thinkific platform must not be used for anything illegal or harmful.
- You keep ownership of any content you post using your Membership but you give us permission to use, share, or modify it so we can run and improve the service. This license ends if you remove your content or delete your Account. We may remove your content at any time if we believe its illegal or harmful.
I. Personal data
- Any Delegate Data supplied by you will be processed by BI in accordance with Data Protection Legislation and out Privacy Policy, which is available here programs.competentboards.com/pages/privacy
J. Updating these Terms
- We may update these terms and conditions from time to time. If the changes are important, we’ll let you know in advance (for example, by email or a notice on the Thinkific platform). Changes will not be applied retroactively. If you do not agree to the new terms, you can stop using your Account – continuing to use your Account means you accept the update.
K. Jurisdiction
- Each party irrevocably agrees that the Contract and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation will be subject to the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any such disputes or claims.
